Dhananjaya Hospitality (Dhananjaya.id)
These Terms and Conditions constitute a legally binding agreement between
Dhananjaya Hospitality (Dhananjaya.id) (referred to herein as “The Manager” or “Dhananjaya”) and the property owner(s) (referred to herein as “The Owner”).
1. Management Agreement and Term
1.1.
Agreement:
This agreement covers all services provided by The Manager for the property(ies) identified in the accompanying
Property Listing Agreement.1.2.
Term:
The initial term of this agreement shall be for twelve (12) months, commencing on the date of signing the Property Listing Agreement. The agreement will automatically renew for subsequent twelve (12) month periods unless terminated by either party with a minimum of sixty (60) days written notice prior to the renewal date.
2. Manager’s Responsibilities and Scope of Service
The Manager shall provide comprehensive hospitality and property management services, which include but are not limited to:2.1.
Marketing & Booking:
Professional listing creation, dynamic pricing optimization, calendar management across all booking platforms (e.g., Airbnb, Booking.com, direct channels), and processing all reservations and payments. 2.2.
Guest Services:
All communication with guests (pre-arrival, during stay, and post-departure), 24/7 emergency support, personalized check-in/out services, and guest concierge services.2.3.
Property Maintenance:
Regular cleaning, gardening, pool maintenance, general repairs, and urgent maintenance management. The Manager will handle all third-party contractor scheduling and oversight. 2.4.
Financial Administration:
Collection of rental income, disbursement of funds, monthly financial reporting, and compliance with local tax obligations related to the rental income. 2.5.
Legal & Compliance:
Ensuring the property adheres to all local regulations for short-term and long-term rentals in the Ubud, Bali area.
3. Owner’s Obligations
3.1.
Financial Authorization:
The Owner must maintain a dedicated
Reserve Fund (the amount specified in the Property Listing Agreement) with The Manager to cover regular operational costs, minor repairs, utilities, and tax payments.3.2.
Insurance:
The Owner is solely responsible for maintaining comprehensive
Property Insurance
(including fire, liability, and natural disaster coverage) and must name The Manager as an interested party on the policy.3.3.
Access:
The Owner must grant The Manager exclusive and unrestricted access to the property for maintenance, showings, and guest occupancy as required by this agreement.3.4.
Property Standards:
The Owner agrees to maintain the property in excellent condition, including replacing or upgrading major appliances, fixtures, or furniture as reasonably requested by The Manager to maintain rental standards.
4. Fees and Payment Structure
4.1.
Management Fee:
The Manager shall receive a fixed percentage (as detailed in the Property Listing Agreement) of the total gross rental revenue (excluding taxes, guest fees, and security deposits). This fee is charged only upon successful booking and payment.4.2.
Disbursement:
Rental income, minus the Management Fee, taxes, and operational expenses, will be disbursed to The Owner on a monthly basis, generally within
10 business days of the end of the calendar month.4.3.
Expenses:
All routine operational costs (utilities, cleaning, maintenance, supplies) will be deducted from the Reserve Fund or directly from the rental income before disbursement. Major expenses (over an agreed-upon limit) will require prior written approval from The Owner.
5. Limitation of Liability
5.1. The Manager is not liable for any damages to the property or furnishings caused by guest misconduct, force majeure (including natural disasters and pandemics), or general wear and tear. 5.2. The Owner indemnifies and holds harmless The Manager against any liability, loss, or claim arising from injuries sustained by guests or third parties on the property, provided The Manager was not grossly negligent.
6. Termination and Withdrawal
6.1.
Early Termination:
If The Owner terminates this agreement before the end of the initial or renewal term without cause, The Owner agrees to pay The Manager a penalty equivalent to three (3) months of the average monthly management fee, calculated over the preceding six (6) months.6.2.
Bookings on Termination:
Upon termination, all confirmed bookings falling after the effective termination date shall be honored by The Owner or a successor manager, or The Owner shall compensate The Manager for the full management fee that would have been earned on those confirmed bookings.
7. Governing Law and Disputes
7.1.
Jurisdiction:
This agreement shall be governed by and construed in accordance with the laws of Indonesia, particularly those applicable in Bali.7.2.
Dispute Resolution:
Any disputes arising under this agreement shall first be submitted to good faith negotiation. If negotiation fails, the parties agree to pursue mediation in Ubud, Bali, before resorting to litigation.
